📜 Terms of Service

✍️ 1. Acceptance of Terms

By creating a Lexi account, clicking "I Agree," or otherwise using the Lexi website or application (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Lexi AI, Inc. ("Lexi," "we," "us," or "our").

👤 2. Eligibility

You must be at least 18 years old to use Lexi. By using the Service, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into a binding agreement.
• You are not barred from using the Service under any applicable law.
• You will use the Service only for lawful purposes and in accordance with these Terms.

⚠️ 3. AI & Legal Disclaimer — Please Read Carefully

Specific Limitations of Lexi's AI

• AI responses may contain errors, omissions, or outdated information.
• AI-generated documents are templates and starting points — they may not be appropriate for your specific situation without modification by a licensed attorney.
• The Contract Analyzer identifies potential concerns but may miss issues or flag non-issues. It is not a substitute for attorney review.
• The Legal Health Score is a general estimation tool only and does not guarantee any level of legal protection.
• AI responses are based on patterns in training data and may reflect incorrect or biased information.
• Lexi cannot guarantee that any document it generates will be enforceable in your jurisdiction.

⚖️ 4. No Attorney-Client Relationship

Your use of Lexi does not create an attorney-client relationship between you and Lexi AI, Inc., or between you and any person or entity affiliated with Lexi. This is true even if you pay for a subscription, communicate with Lexi, share personal legal information, or receive any document or guidance from Lexi.

The information you share with Lexi is not protected by attorney-client privilege. Do not share information with Lexi that you would only share with a licensed attorney under privilege if the protection of privilege is important to you.

Lexi is not a law firm. We are a technology company providing informational software tools. No one at Lexi is your lawyer.

🎯 5. Accuracy of AI Output

Artificial intelligence language models, including the technology powering Lexi, can and do make mistakes. These mistakes may include:

• Hallucinations: Generating confident-sounding but factually incorrect information, including false citations to laws, cases, or statutes that do not exist.
• Outdated information: Laws change frequently. AI training data has a cutoff date and may not reflect current law.
• Jurisdictional errors: Confusing the law of one state or country with another.
• Misapplication: Applying a correct general rule incorrectly to your specific facts.

You assume full responsibility for independently verifying any legal information provided by Lexi before acting on it. We strongly encourage you to confirm any information from Lexi with a licensed attorney or official government sources.

🔐 6. Account Registration

You must register for an account to use most features of Lexi. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and update your account information as needed.
• Keep your password confidential and not share it with others.
• Notify us immediately at support@lexilaw.ai if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

💳 7. Subscriptions & Billing

Free Trial

We offer a 7-day free trial for new users. No credit card is required to start the trial. At the end of your trial, your account will be downgraded to the free tier unless you choose to subscribe — we will never charge you without your explicit action.

Paid Subscriptions

Paid plans are billed monthly or annually as selected at checkout. Your subscription renews automatically at the end of each billing period. We will email you a reminder 7 days before any renewal.

Price Changes

We will give you at least 30 days advance written notice of any price increase. You may cancel before the increase takes effect and will not be charged the new price.

What "No Upsells" Means

We will not present you with in-app upsells, premium add-ons beyond your plan tier, or pressure tactics designed to get you to spend more money. Your plan price is what you pay — nothing more.

🚪 8. Cancellation & Refunds

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain full access to your plan features until then.

Refunds

If you cancel within 48 hours of a charge and have not significantly used the Service in that billing period, contact us at support@lexilaw.ai for a full refund. After 48 hours, all charges are final unless required by applicable law.

We do not offer prorated refunds for mid-period cancellations.

✅ 9. Acceptable Use

You agree not to use Lexi to:

• Violate any applicable law, regulation, or third-party right.
• Generate fraudulent legal documents intended to deceive others.
• Harass, threaten, or harm any individual or group.
• Impersonate any person, entity, or legal professional.
• Attempt to reverse engineer, copy, or reproduce any part of the Service.
• Use automated tools (bots, scrapers) to access or extract data from the Service.
• Attempt to bypass security measures or access accounts other than your own.
• Upload malicious files, viruses, or harmful code.
• Use the Service to provide legal services to others for compensation, unless expressly authorized in writing by Lexi.

Violation of this section may result in immediate account termination without refund.

©️ 10. Intellectual Property

Lexi and all its content, features, and functionality — including the software, AI models, document templates, visual design, and branding — are owned by Lexi AI, Inc. and are protected by intellectual property laws.

Your subscription grants you a limited, personal, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our written consent.

📂 11. Your Content

You retain full ownership of all content you create, upload, or generate using Lexi — including documents you build, files you upload, and information you share in chat.

By using the Service, you grant Lexi a limited license to process and store your content solely for the purpose of providing and improving the Service. We do not claim ownership of your content, and we do not use it to train AI models without your consent.

You represent that you have the right to share any content you upload and that doing so does not violate any third-party rights.

🛡️ 12. Limitation of Liability

Our total aggregate liability to you for any claims arising under or related to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

This limitation of liability applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain damages. If you reside in such a jurisdiction, some of the above limitations may not apply to you.

🤝 13. Indemnification

You agree to indemnify, defend, and hold harmless Lexi AI, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of or reliance on the Service or any AI-generated content.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any third-party right, including any intellectual property or privacy right.
• Any content you upload or share through the Service.
• Any legal action you take or fail to take based on information from Lexi.

🚫 14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Any AI-generated content is accurate, complete, current, or legally valid.
• Any document generated by Lexi will be enforceable in any jurisdiction.
• The Service will meet your specific legal needs.
• Defects in the Service will be corrected.

⚖️ 15. Dispute Resolution & Arbitration

Informal Resolution First

Before filing any formal claim, you agree to contact us at legal@lexilaw.ai and give us 30 days to resolve the issue informally.

Binding Arbitration

If we cannot resolve the dispute informally, any claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court — except as provided below.

Exceptions to Arbitration

Either party may bring claims in small claims court if the claims qualify. Either party may seek emergency injunctive relief from a court to prevent irreparable harm pending arbitration.

Class Action Waiver

YOU AGREE THAT CLAIMS MAY ONLY BE BROUGHT INDIVIDUALLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

🗺️ 16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions, except where preempted by federal law.

For claims that may be brought in court (see Section 15), you consent to personal jurisdiction in the state and federal courts located in Delaware.

📢 17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Send you an email notification at least 14 days before the change takes effect.
• Display a notice inside the Lexi app.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with any changes, you may cancel your account before they take effect.

🔚 18. Termination

You may terminate your account at any time by deleting it in your account settings.

We may suspend or terminate your account at any time, with or without notice, for violations of these Terms, conduct harmful to other users or to us, or for any other reason at our sole discretion. If we terminate your account without cause, we will refund any prepaid fees for the unused period.

Upon termination, Sections 3, 4, 5, 12, 13, 14, 15, and 16 survive and remain in effect.
